The board of directors (the ‘‘Board’’) of Tic Tac International Holdings Company Limited (the ‘‘Company’’) hereby resolves to establish an audit committee of the Board (the ‘‘Audit Committee’’). The constitution of the Audit Committee shall comply with the requirements of the Rules Governing the Listing of Securities (the ‘‘Listing Rules’’) on The Stock Exchange of Hong Kong Limited (the ‘‘Stock Exchange’’) from time to time.
